This feels like two different logos. I would find a different font for the Creative In Advertising...it will be hard to read in a smaller format. I would also get rid of the head and try working the gears to form the "s." The head looks misshapen and the yellow behind it isn't a shape (not a part of a circle not a well formed oval)...it seems out of place.

Far better than the first version, but the same problems. There is still too much going on. Focus on either the gear, or the face, not both.
You Might be able to get away with a single gear with the face, with nothing else confusing it. That could be your yellow, the gear.

Also remove those flags, they are not doing this logo any favours.
